Georgia LLC annual registration: a 3-month window, a fee that quietly became $60, and a 3-year trick that ends the deadline problem

Georgia is one of the easier states to stay compliant in — the filing takes minutes and the fee is modest — which is exactly why it produces so many avoidable misses: owners assume it's trivial, put it off past April 1, and discover that Georgia backs its small fee with a real enforcement stick, up to and including administrative dissolution. The true cost is $60 — a $50 fee plus a $10 service charge that now applies to online filings too (changed September 6, 2025). File late and a $25 penalty attaches; keep not filing and the LLC can be administratively dissolved, with reinstatement at $260.

The fee: why "it's $50 online" is now wrong

For years the standard advice was that filing online cost $50 flat and only paper filings drew the $10 service charge. The Corporations Division's current fee schedule (revised August 2025, effective September 6, 2025) applies the $10 service charge to online filings as well — so an LLC's annual registration is $60 either way. Small difference, but it's the kind of stale number that makes owners think a payment failed or a site is unofficial. Three ways to file — one takes about two minutes

By mail. Print the annual registration form from eCorp, include payment (pre-printed check, certified check, or money order — no starter checks, no cash), and make sure the envelope is postmarked by April 1. Online filings process immediately; mailed ones can take weeks.

Two calendar notes. First, your first annual registration generally comes due in the January 1 – April 1 window of the calendar year after formation — a March 2026 LLC and a November 2026 LLC both first register in early 2027; confirm your entity's status in eCorp rather than assuming. Second, the multi-year option is the underused one: prepaying 2 or 3 years at the same per-year fee removes the deadline entirely for that period — worthwhile if your registered agent and addresses are stable.

What happens if you miss April 1

The $25 late penalty attaches on top of the $60.
Keep not filing, and the state's own guidance is blunt: the LLC "might be subject to a civil suit or ... might be administratively dissolved or revoked by the SOS." A dissolved LLC loses good standing — and with it clean access to lending, closings, and contract signatures — until reinstated.
Reinstatement runs $260 plus catching up whatever registrations are owed — roughly four years of on-time filings just in the reinstatement fee.
